References to “you” “your” “customer” “client” and the like, refer to you, and your agents. These Terms and Conditions can change at any time. It is important that you check back here regularly. Your acceptance of which is agreed from the moment you agree and pay Website advance payment. We have tried to keep these Terms and Conditions brief, easy to understand, and as straightforward as possible. Project Payment Terms
Payment for our website projects is made over Two stages:
Stage One: Prior to commencing work we must receive a 50% deposit/advance for your website project.
Stage Two : Remaining 50 % payment of the project quotation total due upon completion of the work, prior to upload to the server or release of materials.
Client Can Pay full Advance for Any Service.
You are entitled to get 100% refund of the upfront payment you made (if any) in the event of:
You are not satisfied with initial design mockup.
We didn’t start your project at all or we’re unable to start soon.
By Mistake I paid extra amount
No refund will be given if:
You have already approved the design mockup. This condition will not apply if we are unable to complete the project as per the project’s specifications.
The project delays are caused by lack of communication from your end.
SEARCH ENGINES Submission
We do not guarantee any specific position in search engine results for your website. We perform basic search engine optimization according to current best practice.
You are responsible for maintaining your own backups with respect to your website and we will not be liable for restoring any client data or client websites except to the extent that such data loss arises out of a negligent act or omission by us.
You are responsible for complying with all relevant laws relating to e-commerce, and to the full extent permitted by law will hold harmless, protect, and defend and indemnify Ok WebsiteZ and its subcontractors from any claim, penalty, tax, tariff loss or damage arising from your or your clients’ use of Internet electronic commerce.
Our expert team would be providing training to the client’s team via online interactions but that would depend on the request of the client.
Delays with respect to projects
Unreasonable delays from client side in providing the required feedback/information/data to finish the project shall exempt Ok WebsiteZ from meeting the timelines mentioned in the quote. In case client does not provide required details/data/information for more than 15 working days, client authorizes Ok WebsiteZ to forfeit/fine/penalty the payments made towards this project.
In case, during the project duration, the client does not maintain communication with Ok WebsiteZ for more than 30 calendar days, client agrees that the project/services shall be deemed as received and accepted by the client, and the client further authorizes Ok WebsiteZ to mark the project completed and invoice the client for remaining un-invoiced amount as per the total project price agreed.
However, Client can instruct Ok WebsiteZ to put project on hold provided:
Client agrees to pay project resumption fee of 20% of the total project price.
‘on-hold’ period does not exceed 2 calendar months
Client agrees the professionals attached to the project (Project Team Structure) may be different from originally agreed.
Client agrees to pay this project resumption fee every time a project is being put ‘on-hold’
Payment Delay for domain and hosting:
If client not able to pay domain and hosting renewal cost on time then it will be expire. And if client want renewed expire domain and hosting then client applicable for Late Fee Charge.
We are not responsible for lost data, files and database. Should a client require access to the files on the suspended account hosting payment must be made in full payment plus late fee.
Unless otherwise agreed in writing, following services will be separately billed after the website has been made live:
Refinements and logical tweaks to the website, which were not planned/approved by client earlier.
Content presentation and design updates that were not planned/approved by client earlier.
Data Entry and Content
It’s overall responsibility of client to provide the developing team with appropriate content without the issue of copyrights. All the content should be handed over on the stipulated time frame so that no delays could occur. Our company would not be taking any responsibility on issues with respect to spelling or grammar.
Photographs and Images:
It’s overall responsibility of client to provide the developing team with appropriate Photographs and Images without the issue of copyrights. All the graphic should be handed over on the stipulated time frame so that no delays could occur. Our company would not be taking any responsibility on issues with respect to stealing pictures.
3rd Party Add-ons/services/applications:
All third party costs arising from the registration of a domain name/Hosting/purchase of third party utilities/services shall be met by the Client and are payable to Ok WebsiteZ before a Start project. Examples of 3rd party fees are as under:
a) Server Space Hosting Fees
b) SSL Certificates
c) Backup Services
d) 3rd Party APIs, if any, required by ‘Client’ to be integrated with the work ordered.
e) 3rd Party Plugins/Scripts/Applications/Software/Widgets/Services, if any, required by ‘Client’ to be integrated with the work ordered.
f) Payment Gateways Signup and Recurring Fees
We cannot guarantee that the functions contained within any web page (or part of your website design), will always be error free, and therefore we will not be liable in any way whatsoever to you for any third party damages, including lost profits, lost savings, or other incidental, consequential or special damages arising out of the operation of or inability to operate this web site and any other web pages, even if you have advised us of the possibilities of such damages.
OKWebsitez will not be liable for any unlawful activity, Spam, Phishing fraud done by client using Website link, data or any. OkWebsitez Will not promote such kind of activity and can suspend site any time in regard.
Content Management Systems:
a) All packages with the exception of our basic package (Start Up) will be developed using a Content Management System (CMS).
b) In order to maintain compatibility between clients the company now use the WordPress Platform exclusively as our CMS of choice. E¬Commerce stores use different management systems depending on the scale and complexity of the Project.
c) However, in some instances, the company may build a bespoke solution, depending on the exact requirements of the Project.
d) Any associated or additional fees, such as installation, setup, testing and introductory training pertaining to Content Management Systems or E-Commerce Management Systems are covered within your chosen package.
a) A website will not launch until a standing order or BACS payment has been set up, unless special agreement has been reached in advance.
b) Additional costs for extra features and/or additional design costs, not covered by our standard packages, will be agreed and invoiced before the website goes live.
c) If the Client does not respond to the Company’s request to discuss or choose ongoing support options, the client will automatically be placed on what the company feels is the most appropriate support package.
d) A small admin fee is payable for switching the client to another hosting provider.
e) There may be an additional fee for any design changes requested after the initial agreed design has been signed off.
f) The Company is not responsible for writing or inputting any text copy unless this has been specified by the client.
g) If you are hosting the website elsewhere, the Company cannot guarantee that the website is fully compatible with all hosting provider’s server operating systems, especially any contact forms, Content Management Systems, database driven websites, etc.
h) The company do not offer any technical support for any other web site hosting company that you may choose (if you elect not to host the website with us).
i) If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. Just the same as a fine, you cannot transfer this contract to anyone else without our consent or permission.
j) The agreement constituted by these terms and conditions and any proposal will be construed according to and is governed by the laws of Mumbai jurisdiction only. You and OK Websitez submit to the non-exclusive jurisdiction of the courts in and of Mumbai in relation to any dispute arising under these terms and conditions or in relation to any services we perform for you.
Changes to these Terms and Conditions
Ok WebsiteZ reserve the right to add, delete, or modify any provision of these ‘Web Design Terms and Agreement’ at any time without notice.
Failure to receive notification of a change does not make those changes invalid. These Terms and Conditions will always be available to download or print from our website.
